Compliance-Features of Creating IT-Products Within the Framework of IT-Projects

Abstract

The purpose of this article is to identify and formalize the compliance features of creating IT-products in the course of IT-projects. Identification of compliance features was carried out by analyzing the activities of 495 IT-organizations of the Tomsk region and studying of 192 court decisions. As a result of the research, the following compliance features of creating IT-products were set: the transfer of ownership to the IT-product and rights to the result of intellectual activity from the contractor (executor, supplier) to the customer is carried out upon completion of the IT-project; the transfer of ownership to the IT-product and exclusive rights to intellectual property requires documentary support; the process of creating an IT-product by the IT-project team must be formalized according to the rules of a service work; obligatory elimination of compliance risks before the start of an IT-project. In addition, it was found that in order to eliminate the risks associated with infringement of exclusive rights to the result of intellectual activity, collection by the right holder (author) of remuneration for violation of exclusive rights to the result of intellectual activity, prohibition to use the result of intellectual activity, impossibility of recognizing the exclusive right to the result of intellectual activity for the right holder (author), the correct application of the legal mechanism for creating, changing and (or) terminating exclusive rights to the result of intellectual activity is required. It follows that it is needed to start implementing IT-projects only after eliminating compliance risks and fixing the necessary covenants of the transaction in the terms of the contract. The obtained results of the domestic judicial practice analysis showed that failure to comply with this requirement, as a rule, leads to a deviation from the planned project goals, significant material damage, as well as significant reputational costs.
